Surfaced - Terms of Service

These are the product-specific terms for Surfaced, the loyalty card wallet published by Forethought Studio for iOS and Android. They are governed by, and form part of, the Forethought Studio Terms of Service, which apply to Surfaced in full. This page adds detail that is specific to Surfaced. It cannot give you less than the studio Terms of Service or less than the law gives you; where it would, the studio Terms of Service and the law apply instead.

1. The studio Terms of Service govern

Surfaced is one of the Products covered by the Forethought Studio Terms of Service. Everything in those terms applies to your use of Surfaced, including the sections on your licence to use the app, the right of withdrawal, the legal guarantee of conformity, our liability, changes to the terms and to the app, governing law, and the app store terms Apple requires us to carry. Please read this page together with them. Where anything on this page is narrower than the studio Terms of Service or than your legal rights, the studio Terms of Service and the law apply.

2. What Surfaced is

Surfaced is a loyalty card wallet for iOS and Android. It stores your loyalty and membership card barcodes and can use your device's location to bring the card you are most likely to need to the front. It offers both free features and paid features.

We do not guarantee that a given barcode will scan at a given retailer: some retailers do not accept a screen, and some card types cannot be represented as a barcode at all. This describes what the app does and does not do. It does not limit the statutory rights set out in section 6 below and in the studio Terms of Service.

3. Your card data stays on your device

Your loyalty card data (card names, barcodes and colours) is stored on your device. We do not receive it and we cannot read it, which also means we cannot restore it for you: if you lose the device or uninstall the app without exporting, the data is gone. Use the export feature to keep your own backup. What Surfaced does collect, and why, is explained in the Surfaced privacy policy.

4. Free trial, subscription and prices

Surfaced is offered as an auto-renewing subscription with a free trial.

5. Buying through the stores

When you subscribe to Surfaced through the Apple App Store or Google Play, the seller is Apple or Google, not Forethought Studio. Your purchase, billing, payment method and invoice are handled by the store under the store's terms.

Refunds of a store purchase are handled by the store that sold it to you, under that store's policy and your statutory rights. We cannot reverse a charge we never received. Where the studio Terms of Service say we owe you money, we pay you directly, on the terms set out there.

Because Apple and Google are the sellers of record, they operate the right-of-withdrawal process and hold the record of what you agreed to, so exercise that right through the store you bought from. We do not decide whether you still have that right, and nothing on this page takes it away. The full explanation is in section 7 of the studio Terms of Service.

6. Conformity and warranties

We supply Surfaced with reasonable care and skill. It should match its description, be fit for the purpose such apps are normally used for, and receive the updates you were told to expect.

You have statutory rights where a digital service is not in conformity, including the right to have it brought into conformity, to a reduction in price, or to end the contract and be reimbursed. Nothing on this page or in the studio Terms of Service removes or limits those rights.

Two companies are involved in getting Surfaced to you. The store, Apple or Google, is the seller: it handles payment, invoicing, refunding the purchase price, and cancelling a subscription. We supply the app itself and are responsible for it and its content: whether it matches its description, whether it receives the updates you were told to expect, and support when it does not work. If the problem is with the app, come to us; if it is with the charge, go to the store; if you are not sure, ask us and we will tell you. The full statement is in section 10 of the studio Terms of Service.

As the professional that supplies this subscription, we are required by French law to reproduce the legal guarantee of conformity in a fixed notice whose exact wording is prescribed by decree (Code de la consommation, article D. 211-4) and cannot be reworded. The prescribed French text appears below; it is the operative version and does not limit your statutory rights or anything above.

Garantie légale de conformité : abonnements (article D. 211-4 du code de la consommation)

Le consommateur a droit à la mise en œuvre de la garantie légale de conformité en cas d'apparition d'un défaut de conformité durant un délai d'un mois (abonnement mensuel) ou d'un an (abonnement annuel) à compter de la fourniture du contenu numérique ou du service numérique. Durant ce délai, le consommateur n'est tenu d'établir que l'existence du défaut de conformité et non la date d'apparition de celui-ci.

La garantie légale de conformité emporte obligation de fournir toutes les mises à jour nécessaires au maintien de la conformité du contenu numérique ou du service numérique durant un mois (abonnement mensuel) ou un an (abonnement annuel).

La garantie légale de conformité donne au consommateur droit à la mise en conformité du contenu numérique ou du service numérique sans retard injustifié suivant sa demande, sans frais et sans inconvénient majeur pour lui.

Le consommateur peut obtenir une réduction du prix en conservant le contenu numérique ou le service numérique, ou il peut mettre fin au contrat en se faisant rembourser intégralement contre renoncement au contenu numérique ou au service numérique, si :

  1. Le professionnel refuse de mettre le contenu numérique ou le service numérique en conformité ;
  2. La mise en conformité du contenu numérique ou du service numérique est retardée de manière injustifiée ;
  3. La mise en conformité du contenu numérique ou du service numérique ne peut intervenir sans frais imposés au consommateur ;
  4. La mise en conformité du contenu numérique ou du service numérique occasionne un inconvénient majeur pour le consommateur ;
  5. La non-conformité du contenu numérique ou du service numérique persiste en dépit de la tentative de mise en conformité du professionnel restée infructueuse.

Le consommateur a également droit à une réduction du prix ou à la résolution du contrat lorsque le défaut de conformité est si grave qu'il justifie que la réduction du prix ou la résolution du contrat soit immédiate. Le consommateur n'est alors pas tenu de demander la mise en conformité du contenu numérique ou du service numérique au préalable.

Dans les cas où le défaut de conformité est mineur, le consommateur n'a droit à l'annulation du contrat que si le contrat ne prévoit pas le paiement d'un prix.

Toute période d'indisponibilité du contenu numérique ou du service numérique en vue de sa remise en conformité suspend la garantie qui restait à courir jusqu'à la fourniture du contenu numérique ou du service numérique de nouveau conforme.

Ces droits résultent de l'application des articles L. 224-25-1 à L. 224-25-31 du code de la consommation.

Le professionnel qui fait obstacle de mauvaise foi à la mise en œuvre de la garantie légale de conformité encourt une amende civile d'un montant maximal de 300 000 euros, qui peut être porté jusqu'à 10 % du chiffre d'affaires moyen annuel (article L. 242-18-1 du code de la consommation).

Le consommateur bénéficie également de la garantie légale des vices cachés en application des articles 1641 à 1649 du code civil, pendant une durée de deux ans à compter de la découverte du défaut. Cette garantie donne droit à une réduction de prix si le contenu numérique ou le service numérique est conservé, ou à un remboursement intégral contre renonciation au contenu numérique ou au service numérique.

7. Our liability

We are liable to you for loss we cause by failing to meet our obligations under these terms or under the law. We do not exclude or limit our liability where it would be unlawful to do so, including for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for gross negligence, and under the legal guarantee of conformity.

If you are a consumer, we do not cap our liability at a fixed sum, and nothing on this page removes or reduces your right to compensation for loss caused by our failure to meet an obligation. If you use Surfaced in the course of a business, a separate liability limit applies to you. The full liability terms, for consumers and for business users, are in section 11 of the studio Terms of Service.

8. Governing law, and where you can bring a claim

These terms and the studio Terms of Service are governed by French law. If you are a consumer, that choice cannot deprive you of the protection of the mandatory rules of the law of the country where you live, which continue to apply to you in full, in addition to anything in these terms.

If you are a consumer, you may bring proceedings against us in the courts of the country where you live, and we will bring any proceedings against you in the courts of the country where you live. If you are a business user, the courts of Paris, France have exclusive jurisdiction. This mirrors section 14 of the studio Terms of Service.

9. Acceptable use, intellectual property and changes

You agree to use Surfaced lawfully: not for an unlawful purpose, not to circumvent the trial or a purchase, not to place an unreasonable load on our systems, and not to access a system or account you are not authorised to access. Surfaced, its design and its code belong to Forethought Studio or its licensors; store names and logos shown in the app belong to their owners and are used only to identify the card or service concerned. The full acceptable-use and intellectual-property terms are in sections 8 and 9 of the studio Terms of Service.

We may change these product-specific terms and the studio Terms of Service only as described in section 12 of the studio Terms of Service: for a stated valid reason, with advance notice, and with a free way to end the agreement where a change affects you more than minimally. We will not change them retroactively, and we will not use them to change the price, the duration, or the essential characteristics of anything you have already paid for.
