Terms of Service

1. Who we are, and what these terms cover

Forethought Studio is a société par actions simplifiée à associé unique registered in France. Our full identifying and registration details are on our legal notice.

These terms are an agreement between you and Forethought Studio. They cover:

  • this website, forethought-studio.com; and
  • the proprietary applications we publish through an app store, currently Surfaced and SteadyMount.

We call these the "Products".

What these terms do not cover. Two things are governed elsewhere, and nothing here changes them:

  • Software we release under an open source licence. See section 2.
  • YomiKamo, which is operated at yomikamo.com under its own terms.

Where a Product has its own product-specific terms, both sets apply. Product-specific terms may add detail, but they cannot give you less than these terms or less than the law gives you. Where they would, these terms apply instead.

2. Open source software

Some of what we publish is released under an open source licence. That software is licensed to you solely under the terms of its own licence, as stated in the software itself and in its repository. These terms do not apply to it.

Nothing in these terms limits or expands any right granted to you by an open source licence. If anything here conflicts with such a licence, the open source licence prevails and these terms do not apply to that software at all.

In particular, where an open source licence gives you the right to run, copy, study, modify, distribute or create derivative works of the software, you have those rights, and the restrictions in section 9 do not apply to it.

We identify the applicable licence on each product's own page and with the software itself.

3. Acceptance and eligibility

By downloading, installing or using a Product, you agree to these terms. If you do not agree, do not use the Product.

You must be at least 16 years old, or 13 with the consent of a parent or guardian where your local law allows it. If you are below the age that applies to you, do not use the Products.

4. The Products

Surfaced

Surfaced is a loyalty card wallet for iOS and Android. It stores your loyalty and membership card barcodes, and can use your device's location to bring the card you are most likely to need to the front.

Your card data is stored on your device. We do not receive it and we cannot read it. That also means we cannot restore it for you: if you lose the device or uninstall the app without exporting, the data is gone. Use the export feature to keep your own backup.

Location is used only to order and surface your cards. It is off until you allow it, and you can withdraw that permission at any time in your device settings.

We do not guarantee that a given barcode will scan at a given retailer. Some retailers do not accept a screen, and some card types cannot be represented as a barcode at all.

SteadyMount

SteadyMount mounts SFTP and WebDAV servers as drives on macOS. It connects to servers you choose and have the right to access. You are responsible for having that right, and for the credentials you enter.

SteadyMount moves your files between your Mac and your server. It is not a backup product and it does not keep a second copy of anything. Network storage can be interrupted by conditions outside our control, including the server, your network and macOS itself. Keep independent backups of anything you cannot afford to lose.

5. Your licence to use the Products

We grant you a personal, non-exclusive, non-transferable licence to use the Products. You do not acquire ownership of any Product or any intellectual property in it.

The scope of that licence depends on where you obtained the Product:

  • Apple App Store and Mac App Store. The licence is limited to Apple-branded products that you own or control, and is subject to the Usage Rules in the Apple Media Services Terms and Conditions. It permits access by other members of your Family Sharing group, by users covered by a volume purchase, and by a Legacy Contact, where Apple's rules provide for it.
  • Google Play. Your licence is as granted under Google Play's terms.

These terms do not replace the app store's own terms. Where an app store's terms conflict with these, the app store's terms govern the transaction between you and that store.

6. Prices, purchases, trials and subscriptions

The stores sell, not us. When you buy or subscribe through the Apple App Store or Google Play, the seller is Apple or Google, not Forethought Studio. Your purchase, your billing, your payment method and your invoice are handled by them under their terms.

Prices. The current price, the billing period and any trial length are shown to you in the store and in the app before you commit. Those displayed terms are the ones that apply.

Free trials. Both Products currently offer a free trial. When a trial converts to a paid purchase, and at what price, is disclosed before you start it. If a trial converts to a subscription, it will convert unless you cancel before it ends.

Surfaced is offered as an auto-renewing subscription. It renews at the end of each period until you cancel. Cancel through your Apple Account subscription settings or the Google Play subscription centre. Cancelling stops the next renewal; it does not shorten the period you have already paid for.

SteadyMount is offered as a one-time purchase that does not expire and does not renew. A reduced free tier remains available if you do not buy it. A future major version may be a separate purchase; if it is, your existing version keeps working.

Refunds. Refunds of a store purchase are handled by the store that sold it to you, under that store's policy and your statutory rights. We cannot reverse a charge we never received, so we cannot process an App Store or Google Play refund ourselves. Where these terms say we owe you money, we pay you directly, so that promise never depends on the store acting. We pay within 14 days of your telling us. Because the store and not we hold the card or account you originally paid with, we will agree a method with you; we will not charge you a fee for being paid, and we will not make you take store credit instead of money. If you think something has gone wrong, contact us either way and we will help you sort it out.

7. Right of withdrawal

If you are a consumer in the EU or EEA, you have 14 days to withdraw from a distance contract without giving a reason.

Two different rules apply, and which one covers you depends on what you bought:

  • A one-time purchase of digital content, such as unlocking SteadyMount. The right can be lost once supply has begun, but only where all of the following happened: you gave prior express consent, you acknowledged that you would thereby lose the right, and you received confirmation of the agreement on a durable medium. If any one of those is missing, you keep the right.
  • A subscription to a digital service, such as Surfaced. The right is lost only once the service has been fully performed. Beginning to use it does not by itself end the right, and if you withdraw partway you can be asked to pay only for what you actually received.

Because Apple and Google are the sellers of record, they operate the withdrawal process and they hold the record of what you agreed to, so exercise the right through the store you bought from. We do not decide whether you still have that right, and nothing in these terms takes it away. If a store tells you the right does not apply and you believe that is wrong, contact us and we will take it up with you.

8. Acceptable use

You agree to use the Products lawfully, and not to:

  • use a Product to access a system, server or account you are not authorised to access;
  • interfere with, disrupt or place an unreasonable load on our systems, or attempt to defeat a security measure or a rate limit;
  • circumvent a trial period, a licence check or a purchase;
  • use a Product to distribute malware or to commit an offence.

9. Intellectual property

What is yours stays yours. We claim no ownership of your files, your cards, your credentials or anything else you create or store using a Product.

What is ours. The Products, their code, their design and our trademarks belong to us or to our licensors. Except where permitted by law, and except for software covered by section 2, you may not copy, modify, create derivative works from, reverse-engineer, decompile or disassemble any part of a Product that is not open source.

Store names, logos and trademarks shown inside a Product belong to their owners and are used only to identify the card or service concerned.

10. Conformity and warranties

We supply the Products with reasonable care and skill. A Product should match its description, be fit for the purpose such products are normally used for, and receive the updates you were told to expect.

You have statutory rights where digital content or a digital service is not in conformity, including the right to have it brought into conformity, to a reduction in price, or to end the contract and be reimbursed. Nothing in these terms removes or limits those rights.

Two companies are involved in getting a Product to you, so here is who is responsible for what:

  • The store, Apple or Google, is the seller. It handles the transaction: payment, invoicing, refunding the purchase price, cancelling a subscription, and the withdrawal process in section 7.
  • We supply the Product itself, and we are responsible for it and its content: whether it matches its description, whether it receives the updates you were told to expect, and support when it does not work.

So: if the problem is with the Product, come to us. If it is with the charge, go to the store. If you are not sure which it is, ask us and we will tell you. We will not send you back and forth.

Beyond that, and only to the extent the law permits us to say so, we do not warrant that a Product will be uninterrupted or error-free, or that it will work with every server, retailer, device or operating system version.

Legal guarantee of conformity: mandatory notice

French consumer law requires us, as the professional (le professionnel) who supplies this digital content, to set out the legal guarantee of conformity in a fixed, boxed notice (an encadré) whose wording is prescribed by decree and may not be reworded (Code de la consommation, articles D. 211-3 and D. 211-4, and the model text annexed to them). Because that wording is prescribed in French and cannot be paraphrased, we reproduce the official French text below. It is the operative version; the plain-language explanation above is only a summary and does not replace or limit it. The first box applies to one-time purchases (for example SteadyMount); the second applies to subscriptions (for example Surfaced).

Garantie légale de conformité : achats définitifs (article D. 211-3 du code de la consommation)

Le consommateur dispose d'un délai de deux ans à compter de la fourniture du contenu numérique ou du service numérique pour obtenir la mise en œuvre de la garantie légale de conformité en cas d'apparition d'un défaut de conformité. Durant un délai d'un an à compter de la date de fourniture, le consommateur n'est tenu d'établir que l'existence du défaut de conformité et non la date d'apparition de celui-ci.

La garantie légale de conformité emporte obligation de fournir toutes les mises à jour nécessaires au maintien de la conformité du contenu numérique ou du service numérique.

La garantie légale de conformité donne au consommateur droit à la mise en conformité du contenu numérique ou du service numérique sans retard injustifié suivant sa demande, sans frais et sans inconvénient majeur pour lui.

Le consommateur peut obtenir une réduction du prix en conservant le contenu numérique ou le service numérique ou il peut mettre fin au contrat en se faisant rembourser intégralement contre renoncement au contenu numérique ou au service numérique, si :

  1. Le professionnel refuse de mettre le contenu numérique ou le service numérique en conformité ;
  2. La mise en conformité du contenu numérique ou du service numérique est retardée de manière injustifiée ;
  3. La mise en conformité du contenu numérique ou du service numérique ne peut intervenir sans frais imposés au consommateur ;
  4. La mise en conformité du contenu numérique ou du service numérique occasionne un inconvénient majeur pour le consommateur ;
  5. La non-conformité du contenu numérique ou du service numérique persiste en dépit de la tentative de mise en conformité du professionnel restée infructueuse.

Le consommateur a également droit à une réduction du prix ou à la résolution du contrat lorsque le défaut de conformité est si grave qu'il justifie que la réduction du prix ou la résolution du contrat soit immédiate. Le consommateur n'est alors pas tenu de demander la mise en conformité du contenu numérique ou du service numérique au préalable.

Dans les cas où le défaut de conformité est mineur, le consommateur n'a droit à l'annulation du contrat que si le contrat ne prévoit pas le paiement d'un prix.

Toute période d'indisponibilité du contenu numérique ou du service numérique en vue de sa remise en conformité suspend la garantie qui restait à courir jusqu'à la fourniture du contenu numérique ou du service numérique de nouveau conforme.

Les droits mentionnés ci-dessus résultent de l'application des articles L. 224-25-1 à L. 224-25-31 du code de la consommation.

Le professionnel qui fait obstacle de mauvaise foi à la mise en œuvre de la garantie légale de conformité encourt une amende civile d'un montant maximal de 300 000 euros, qui peut être porté jusqu'à 10 % du chiffre d'affaires moyen annuel (article L. 242-18-1 du code de la consommation).

Le consommateur bénéficie, en outre, de la garantie légale des vices cachés en application des articles 1641 à 1649 du code civil, pendant une durée de deux ans à compter de la découverte du défaut. Cette garantie donne droit à une réduction de prix si le contenu numérique ou le service numérique est conservé ou à un remboursement intégral contre renonciation au contenu numérique ou au service numérique.

Garantie légale de conformité : abonnements (article D. 211-4 du code de la consommation)

Le consommateur a droit à la mise en œuvre de la garantie légale de conformité en cas d'apparition d'un défaut de conformité durant un délai d'un mois (abonnement mensuel) ou d'un an (abonnement annuel) à compter de la fourniture du contenu numérique ou du service numérique. Durant ce délai, le consommateur n'est tenu d'établir que l'existence du défaut de conformité et non la date d'apparition de celui-ci.

La garantie légale de conformité emporte obligation de fournir toutes les mises à jour nécessaires au maintien de la conformité du contenu numérique ou du service numérique durant un mois (abonnement mensuel) ou un an (abonnement annuel).

La garantie légale de conformité donne au consommateur droit à la mise en conformité du contenu numérique ou du service numérique sans retard injustifié suivant sa demande, sans frais et sans inconvénient majeur pour lui.

11. Our liability

We are liable to you for loss we cause by failing to meet our obligations under these terms or under the law.

We do not exclude or limit our liability where it would be unlawful to do so. That includes liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for gross negligence, and under the legal guarantee of conformity.

If you are a consumer, we do not cap our liability at a fixed sum, and nothing in these terms removes or reduces your right to compensation for loss caused by our failure to meet an obligation. French law itself limits damages to what was foreseen or foreseeable when the contract was made, except where the failure is the result of gross fault or deliberate non-performance (in French law, faute lourde ou dolosive, which covers a deliberate failure to perform even without an intention to cause harm). That is the law's own rule; we do not add to it.

If you use a Product in the course of a business, our total liability to you for all claims arising in any twelve-month period is limited to the greater of the amount you paid us for that Product in that period, or one hundred euros; and we are not liable to you for loss of profit, loss of business, loss of goodwill or indirect or consequential loss.

12. Changes to these terms and to the Products

Changes to a Product. We may update a Product to keep it working, secure, and in conformity with what we promised you. Updates of that kind are free and are not a change to our agreement.

We may also change a Product beyond what conformity requires, but only for one of these reasons: to comply with a change in the law or in what a regulator requires; to follow a change in an app store's or operating system's rules or technical requirements; to address a security risk; or to replace a third-party service or interface we depend on and no longer can. Any such change is at no extra cost to you.

We will tell you in advance about any such change, saying what is changing and when. If it would negatively affect your access or use at all, we will also tell you how to refuse it or uninstall it. If the effect is more than minor, we will give you at least 30 days' notice on a durable medium, and:

  • where it is technically possible, you may decline the change and keep using the version you already have; or
  • you may end the agreement free of charge within 30 days of being told or of the change taking effect, whichever is later.

Changes to these terms. We may change these terms only for one of these reasons: a change in the law or in what a regulator requires; a change in an app store's rules that we are obliged to follow; a security or technical necessity; or the addition of a new Product or feature that these terms do not yet cover. We will give you at least 30 days' notice, and we will say what changed. If you do not accept a change, you may end the agreement free of charge before it takes effect.

If you end the agreement under this section, whether because of a Product change or a change to these terms, we will reimburse you. For a subscription, that means the part of what you paid covering a period you will not now receive. For a one-time purchase, if you cannot keep using the version you already have, it means what you paid for it. We pay on the terms set out under "Refunds" in section 6.

We will not change these terms retroactively, and we will not use this section to change the price, the duration, or the essential characteristics of anything you have already paid for.

13. Suspension and termination

You may stop using the Products at any time, and cancel any subscription through your app store.

We may suspend or end your access if you materially breach these terms, or where we must do so by law. Where it is reasonable to do so, we will warn you first and give you a chance to put it right. If we end your access other than for your breach, we will reimburse you on the same basis as section 12: for a subscription, the part of what you paid that covers a period you will no longer receive; for a one-time purchase, what you paid for it.

14. Governing law, and where you can bring a claim

These terms are governed by French law.

If you are a consumer, that choice cannot deprive you of the protection of the mandatory rules of the law of the country where you live. Those protections continue to apply to you in full, in addition to anything in these terms.

If you are a consumer, you may bring proceedings against us in the courts of the country where you live, and we will bring any proceedings against you in the courts of the country where you live. If you are a business user, the courts of Paris, France have exclusive jurisdiction.

The United Nations Convention on Contracts for the International Sale of Goods does not apply.

15. Complaints

If something is wrong, contact us first. We would much rather fix it than argue about it. Our details are in section 17 and on our legal notice.

16. App store terms

This section applies only to the store you actually obtained the Product from. It is wording the stores require us to carry, and it sets out what the store is and is not responsible for as against us. It does not reduce your statutory rights and it does not change who you should approach under section 10.

Apple App Store and Mac App Store

  1. These terms are between you and Forethought Studio only. Apple is not a party to them, and Forethought Studio, not Apple, is solely responsible for the Product and its content.
  2. Your licence is as described in section 5, and may not conflict with the Apple Media Services Terms and Conditions or the Usage Rules.
  3. Forethought Studio is solely responsible for maintenance and support of the Product. Apple has no obligation to provide either.
  4. We are solely responsible for any warranty, to the extent it is not effectively disclaimed. If a Product fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any. To the maximum extent the law permits, Apple has no other warranty obligation, and any other claim attributable to a failure to conform to a warranty is ours.
  5. We, not Apple, are responsible for addressing any claim relating to a Product or your use of it, including product liability claims, any claim that a Product fails to conform to a legal or regulatory requirement, and any claim arising under consumer protection or privacy law.
  6. We, not Apple, are solely responsible for the investigation, defence, settlement and discharge of any claim that a Product infringes a third party's intellectual property.
  7. You represent that you are not located in a country subject to a US Government embargo or designated as terrorist supporting, and that you are not on any US Government list of prohibited or restricted parties.
  8. Questions, complaints and claims about a Product should be sent to Forethought Studio at the address, telephone number and email address in section 17.
  9. You must comply with any applicable third-party terms when using a Product, including your wireless data agreement.
  10. Apple and Apple's subsidiaries are third-party beneficiaries of these terms, and Apple has the right to enforce them against you as such.

Google Play

Billing, refunds and cancellation are handled by Google under the Google Play Terms of Service and your Google Account settings. Where these terms conflict with Google's Developer Distribution Agreement, that agreement governs. You can cancel a subscription in the Google Play subscription centre or in the app.

18. General

Severability. If a provision of these terms is unenforceable, it is severed and the rest continues to apply.

No waiver. If we do not enforce a right straight away, we do not lose it.

Force majeure. Neither of us is liable for a failure caused by something genuinely beyond our reasonable control.

Entire agreement. These terms, together with our privacy policy, any product-specific terms, and the terms of the app store you bought from, are the whole agreement between us about the Products.
